Terms of Service

1. Agreement to Terms

By accessing or using any Foxxflow service -- including the Foxxflow website (foxxflow.com), Foxxflow Portal (portal.foxxflow.com), or SwiftFX trading platform (swiftfx.foxxflow.com) -- you agree to be bound by these Terms of Service. If you do not agree to these terms, do not use our services.

2. Service Description

Foxxflow operates the following platforms:

• Foxxflow Portal -- an internal team collaboration platform providing email management, real-time messaging (Vox), voice and video calls via LiveKit, file sharing through Google Drive integration, project management (kanban boards, tickets), team calendar, and GitLab integration.
• SwiftFX -- an automated trading platform that connects to MetaTrader 4 and MetaTrader 5 broker terminals, enabling trade execution, account monitoring, and multi-broker management.
• Foxxflow Website -- our public-facing website providing information about our consulting services.

3. Account Registration and Security

When you are granted access to our platforms, you agree to:

• Provide accurate and complete information during registration
• Maintain the security of your password, passkeys, and multi-factor authentication (MFA) credentials
• Notify us immediately of any unauthorized access to your account
• Not share your login credentials with any other person
• Accept responsibility for all activity that occurs under your account

We support multiple authentication methods including passwords, WebAuthn passkeys, and time-based one-time passwords (TOTP). We strongly recommend enabling MFA on all accounts.

4. Acceptable Use

You agree not to:

• Send spam, unsolicited messages, or bulk communications through the portal
• Attempt to gain unauthorized access to any system, network, or account
• Reverse engineer, decompile, or disassemble any part of our platforms
• Use automated tools (bots, scrapers) to access our services without authorization
• Upload malicious code, viruses, or any content intended to disrupt service
• Use the trading platform to facilitate money laundering or other illegal financial activity
• Circumvent rate limits, security controls, or access restrictions
• Impersonate another user or misrepresent your identity

5. Intellectual Property

All platform code, designs, logos, documentation, and other materials created by Foxxflow are our intellectual property and are protected by applicable copyright and trademark laws.

You retain ownership of content you create or upload to our platforms, including messages, files, and project data. By using our services, you grant us a limited license to store, process, and display your content solely for the purpose of providing the service.

6. Data and Privacy

Your use of our services is also governed by our Privacy Policy, which describes how we collect, use, store, and protect your data. By using our services, you consent to the data practices described in that policy.

7. Service Availability

We strive to maintain high availability for all our platforms. However, we do not guarantee uninterrupted access. Services may be temporarily unavailable due to:

• Scheduled maintenance (we will provide advance notice when possible)
• Infrastructure issues with our hosting providers (AWS, Cloudflare)
• Force majeure events beyond our control
• Security incidents requiring immediate remediation

We do not offer formal Service Level Agreements (SLAs) at this time. Our goal is best-effort availability with transparent communication about any disruptions.

To the fullest extent permitted by law, Foxxflow and its officers, directors, employees, and agents shall not be liable for:

• Any indirect, incidental, special, consequential, or punitive damages arising from your use of our services
• Financial losses resulting from trading activity conducted through SwiftFX
• Loss of data due to system failures, security breaches, or service interruptions
• Damages arising from unauthorized access to your account

Our total aggregate liability for any claims arising from these Terms or your use of our services shall not exceed the total fees paid by you to Foxxflow in the twelve (12) months preceding the claim.

10. Indemnification

You agree to indemnify and hold harmless Foxxflow and its officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses (including reasonable attorney fees) arising out of your use of our services, violation of these Terms, violation of any third-party rights, or your trading activity on SwiftFX.

11. Termination

Either party may terminate access to the services at any time:

• By you: Contact us to request account deactivation. We will provide a reasonable period to export your data before deletion.
• By us: We may suspend or terminate your access for violation of these Terms, prolonged inactivity, or for any reason with reasonable notice.

Upon termination, your right to use our services ceases immediately. We will retain your data in accordance with our Privacy Policy and applicable legal requirements.

12. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Texas, United States of America, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts located in Travis County, Texas.

13. Changes to Terms

We reserve the right to modify these Terms at any time. Changes will be posted on this page with an updated "Last updated" date. For material changes, we will notify active users through the portal. Your continued use of our services after changes take effect constitutes acceptance of the updated Terms.
